Governing access to and use of codegotech.com.

These Terms & Conditions ("Terms") govern access to and use of the website located at codegotech.com (the "Website"), operated by Codego Group LTD, a company incorporated under Maltese law. These Terms apply to all visitors and users of the Website. The Website is a corporate information resource only; it does not constitute an offer to provide, or a solicitation to purchase, any financial product or service. Commercial and programme-level terms for Codego's Banking-as-a-Service ("BaaS") infrastructure are negotiated and documented separately under bespoke commercial agreements. Additional legal documents — including a Privacy Notice and Cookie Notice — are published on the Website and should be read alongside these Terms. Identity of the Operator and Scope

The Website is owned and operated by Codego Group LTD, a company registered in Malta (the "Company", "we", "us" or "our"). Codego Group LTD is the registered owner of the codegotech.com domain and holds an EUIPO-registered trademark (file reference 018922174) in respect of the "Codego" brand.

The Codego group of companies includes, without limitation: Codego Europe SIA, a Latvian entity currently progressing through electronic-money institution ("EMI") licence onboarding; and Codego SRL, an agent authorised to distribute electronic-money services. The group holds a National Bank of Belgium electronic-money distribution licence, which is passported across relevant EU member states. References to "Codego" in Website content may refer to the group collectively; however, for the purposes of these Terms, the contracting party is Codego Group LTD alone.

These Terms apply exclusively to use of the Website. They do not govern, and shall not be construed as governing, any BaaS, card-issuing, programme-management, or other commercial services provided by any entity within the Codego group. Such services are subject to separate written agreements negotiated on a programme-by-programme basis between the relevant Codego group entity and each commercial counterparty. Nothing on the Website creates, modifies, or supplements any such commercial agreement.

These Terms do not apply to any third-party website to which the Website may link, nor to any platform, portal, or application operated separately from codegotech.com, even if accessible via a hyperlink published on the Website.

Acceptance of Terms

Acceptance of Terms

By accessing or using any part of the Website, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety, as well as any additional policies incorporated herein by reference (including the Privacy Notice and Cookie Notice). If you do not accept these Terms, you must cease using the Website immediately.

These Terms constitute a legally binding agreement between you and Codego Group LTD. Your continued use of the Website following publication of any revised version of these Terms constitutes acceptance of those revisions. It is your responsibility to review the Terms periodically. The date of the most recent review is stated at the top of this page and in Section 11 below.

Where the Website is accessed on behalf of a legal entity — for example, by an employee, contractor, or representative — the individual accepting these Terms warrants that they have authority to bind that entity. In such circumstances, "you" shall refer to the relevant legal entity.

No person under the age of 18 should use the Website without the supervision of a parent or guardian. The Website is directed to business professionals and corporate audiences; it is not directed to consumers in a retail capacity nor to minors.

Use of the Website does not give rise to any contractual relationship between you and Codego Group LTD beyond that set out in these Terms. In particular, the Website does not constitute, and shall not be interpreted as, an offer capable of acceptance, a prospectus, a financial promotion, investment advice, or any other regulated communication within the meaning of applicable Maltese, EU, or other national financial-services legislation.

Informational Nature of the Website — No Offer to Contract

The Website is published for general corporate information purposes only. All content, descriptions of products or services, case studies, capability statements, and other materials published on the Website are provided solely to describe Codego's business activities and the range of infrastructure services the Codego group may offer to eligible commercial partners. No such content constitutes:

(a) an offer to provide any BaaS, card-issuing, programme-management, payment processing, electronic money, or any other financial or technology service;
(b) a binding quotation, tender, or proposal;
(c) financial advice, investment advice, legal advice, tax advice, or any other form of regulated advice or guidance;
(d) a representation that any particular service, feature, or capability is currently available, licensed, or deployable in any given jurisdiction; or
(e) confirmation that Codego or any group entity holds regulatory authorisations necessary to provide any described service in any specific territory.

Commercial enquiries submitted via the Website — whether through a contact form, live-chat facility, or direct email — do not give rise to any contractual obligation on the part of Codego Group LTD. Any expression of interest or preliminary commercial discussion must be documented in a formal written agreement, executed by authorised signatories on behalf of the relevant Codego group entity, before any binding commitment exists.

Statements on the Website regarding the jurisdictions in which Codego operates, the regulatory licences held, and the services available are provided as general background information. Codego makes no warranty that such statements are complete or current with respect to any particular jurisdiction or potential commercial arrangement. Prospective partners should conduct independent due diligence and seek their own legal and regulatory advice.

Intellectual Property

All intellectual property rights in the Website and its content — including, without limitation, text, graphics, logos, icons, images, audio or video clips, data compilations, software, layout, and design — are owned by or licensed to Codego Group LTD and are protected by applicable intellectual property laws, including EU copyright law, the EU Trade Mark Regulation (EU) 2017/1001, and corresponding Maltese legislation.

The "Codego" name and logo are registered trademarks of Codego Group LTD at the European Union Intellectual Property Office (EUIPO), file reference 018922174. Unauthorised use of these or any confusingly similar marks is prohibited and may constitute trade mark infringement.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the content of the Website for your own internal informational purposes only. This licence does not include the right to:

(a) reproduce, copy, distribute, republish, download, display, post, or transmit any part of the Website content in any form or by any means, except as strictly necessary for the purpose of viewing the Website in a standard web browser;
(b) sell, resell, sublicense, or otherwise commercially exploit any Website content;
(c) modify or create derivative works based on any Website content;
(d) use the Codego name, logo, or trademarks in any manner without prior written authorisation from Codego Group LTD; or
(e) use meta tags or any other hidden text utilising Codego's name or trademarks.

Any rights not expressly granted by these Terms are reserved by Codego Group LTD and its licensors. Nothing in these Terms shall be construed as conferring any licence under any intellectual property right other than as expressly stated above.

Restrictions on Use

Restrictions on Use

You must use the Website only for lawful purposes and in accordance with these Terms. Without prejudice to the foregoing, the following activities are expressly prohibited:

5.1 Data harvesting and automated access. You must not use any automated device, software, script, robot, spider, crawler, scraper, data-mining tool, or other automated means to access, index, extract, copy, or monitor any part of the Website or its content, without prior written consent from Codego Group LTD. This prohibition applies regardless of whether such activity is conducted for commercial or non-commercial purposes.

5.2 Reverse engineering. You must not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, architecture, or technical components of any software, system, or application made available through or underlying the Website.

5.3 Circumvention and compliance evasion. You must not use the Website, or any information obtained from it, to circumvent, evade, or assist any other person to circumvent or evade any applicable regulatory requirement, anti-money laundering control, sanctions screening obligation, know-your-customer procedure, or other compliance or legal obligation imposed under EU law, Maltese law, or any other applicable national or international legal framework. In particular, you must not use Website content to misrepresent, obscure, or falsify the nature, purpose, or intended use of any transaction or commercial arrangement with any Codego group entity.

5.4 Harmful conduct. You must not transmit any unsolicited communications, introduce viruses or other malicious code, conduct denial-of-service attacks, attempt to gain unauthorised access to any system or data, or otherwise interfere with the availability or integrity of the Website.

5.5 Unlawful use. You must not use the Website in any manner that violates any applicable local, national, or international law or regulation, or that infringes any third party's rights.

Codego Group LTD reserves the right to suspend or terminate access to the Website for any user who violates, or is reasonably suspected of violating, these restrictions, without notice and without liability.

The Website and all content published on it are provided on an "as is" and "as available" basis. Codego Group LTD makes no representation or warranty of any kind, whether express, implied, statutory, or otherwise, in respect of the Website or its content, including but not limited to:

(a) accuracy, completeness, or currency of any content, including capability statements, regulatory information, geographic coverage claims, or descriptions of BaaS services;
(b) fitness for any particular purpose or commercial use;
(c) absence of errors, omissions, or inaccuracies;
(d) uninterrupted, timely, or error-free availability of the Website; or
(e) freedom from viruses or other harmful components.

Codego Group LTD makes reasonable efforts to keep Website content up to date and accurate; however, the infrastructure, services, regulatory status, and geographic reach of the Codego group change over time. Website content may not reflect the most current position at any given moment. You should not rely solely on Website content for any business, investment, compliance, or regulatory decision, and you are strongly advised to contact Codego directly at banking@codegotech.com and seek independent professional advice before acting on any information published on the Website.

To the fullest extent permitted by applicable Maltese and EU law, all implied warranties, conditions, and representations are excluded. Nothing in these Terms shall operate to exclude or limit any liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation.

Codego Group LTD has no control over, and accepts no responsibility for, the content, privacy practices, terms of use, availability, or accuracy of any third-party website. You access linked third-party websites entirely at your own risk and subject to the terms and conditions applicable to those websites. You are encouraged to review the privacy policy and terms of use of any third-party website you visit.

The Website may also embed or reference content provided by third-party service providers, including live-chat functionality provided by Tawk.to and content delivery services provided by Cloudflare. Such services are governed by the respective providers' own terms and privacy policies, details of which are provided in the Website's Cookie Notice and Privacy Notice. Codego Group LTD is not liable for the conduct, products, services, or content of any such third-party provider.

Limitation of Liability

Limitation of Liability

To the fullest extent permitted by applicable law, Codego Group LTD, its directors, officers, employees, agents, licensors, and group companies shall not be liable to you or to any third party for any loss or damage arising from or in connection with:

(a) your access to or use of, or inability to access or use, the Website;
(b) any reliance placed on any content, information, or material published on the Website;
(c) any interruption, suspension, or termination of access to the Website;
(d) any unauthorised access to, or alteration of, data transmitted to or from the Website;
(e) any conduct or content of any third party accessible via the Website; or
(f) any viruses, malware, or other harmful components introduced to your device through use of the Website.

Because the Website is a purely informational corporate resource provided free of charge, and because no contractual or transactional relationship arises from its use, the aggregate liability of Codego Group LTD to you in connection with your use of the Website shall, to the maximum extent permitted by Maltese law, be nil. Where Maltese law requires that a de minimis cap be applied rather than a complete exclusion, the aggregate liability of Codego Group LTD in respect of any claim or series of related claims arising from Website use shall not exceed EUR 100 (one hundred euros).

Nothing in this Section 08 shall operate to limit or exclude Codego Group LTD's liability for: (i) death or personal injury caused by its negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot lawfully be limited or excluded under Maltese or EU law.

You agree to indemnify and hold harmless Codego Group LTD and its affiliates, officers, directors, and employees from and against any claims, damages, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms or your unlawful or improper use of the Website.

Suspension, Termination, and Access Restrictions

Codego Group LTD reserves the right, in its absolute discretion and without prior notice or liability, to:

(a) suspend, restrict, block, or terminate your access to the Website or any part of it, at any time and for any reason, including (without limitation) where Codego Group LTD reasonably believes that you have breached these Terms, applicable law, or the rights of any third party;
(b) remove, edit, or refuse to publish any content or communication submitted to or through the Website;
(c) take any technical or legal action it considers appropriate to prevent or stop prohibited use of the Website;
(d) discontinue, modify, or temporarily or permanently suspend the Website, or any feature of the Website, with or without notice and without incurring any liability to you or any third party.

Codego Group LTD further reserves the right to report any activity it reasonably suspects constitutes a criminal offence to the relevant law enforcement authorities or regulatory bodies, and to co-operate fully with such authorities in connection with any investigation.

Upon termination or suspension of your access, however caused, these Terms shall continue to apply to all prior use of the Website. Sections addressing intellectual property, restrictions on use, limitation of liability, governing law, and jurisdiction shall survive any termination or expiry of these Terms.

Codego Group LTD may revise and update these Terms from time to time at its sole discretion. All changes are effective immediately upon publication on the Website, unless a different effective date is stated. The date of the most recent review is set out at the top of this page.

Material changes to these Terms will, where practicable, be notified by updating the "Last reviewed" date prominently at the top of this page. Codego Group LTD may, but is not obliged to, provide additional notice of material changes via a notice on the Website homepage or by other means.

Your continued use of the Website following the publication of revised Terms constitutes your acceptance of those revisions. If you do not agree with any revised Terms, you must discontinue use of the Website. It is your responsibility to check this page periodically for updates.

Changes to these Terms do not affect any rights or obligations that arose under a prior version of the Terms in respect of any matter that was already the subject of a dispute or legal proceedings at the date of the revision.

Governing Law, Jurisdiction, Severability, and Entire Agreement

Governing Law, Jurisdiction, Severability, and Entire Agreement

11.1 Governing law. These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Malta, without regard to its conflict-of-laws rules.

11.2 Exclusive jurisdiction. You irrevocably agree that the courts of Malta shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or your use of the Website. Codego Group LTD reserves the right to seek injunctive or other equitable relief in any competent jurisdiction where necessary to protect its intellectual property or other proprietary rights.

11.3 Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the validity, legality, and enforceability of the remaining provisions shall not be affected.

11.4 Entire agreement. These Terms, together with the Privacy Notice and Cookie Notice published on the Website, constitute the entire agreement between you and Codego Group LTD with respect to your use of the Website. They supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to the same subject matter. No waiver by Codego Group LTD of any breach of these Terms shall be construed as a waiver of any subsequent breach.

11.5 No waiver. The failure of Codego Group LTD to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to in writing by Codego Group LTD.
